• "Model" or "Talent" refers to individuals represented by our agency
• "Client" refers to brands, companies, or individuals booking our models
• "User," "you," or "your" refers to anyone accessing our Services
• "Content" refers to text, images, videos, and other materials on our website

Eligibility

To use our Services, you must:

• Be at least 16 years of age (models under 18 require parental consent)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our Services under applicable laws
• Provide accurate, current, and complete information during registration

We reserve the right to refuse service to anyone at our sole discretion.

Account Registration

To access certain features of our Services, you may need to create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any information that changes
• Not share your account with others
• Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

Model Representation Agreement

Application Process

Submitting an application does not guarantee representation. We review all applications and may contact you if we believe you're a good fit for our agency. The application process includes:

• Initial application submission with photos and information
• Review by our talent team
• Potential in-person meeting or video interview
• Formal representation agreement if accepted

Representation Terms

If accepted for representation, you agree to:

• Grant us exclusive or non-exclusive representation rights as specified in your contract
• Provide accurate measurements, availability, and portfolio materials
• Maintain professional standards and appearance
• Attend bookings and castings as confirmed
• Communicate promptly regarding opportunities and schedule changes
• Pay agreed-upon commission fees from bookings (typically 15-20%)

Commission Structure

Our agency operates on a commission basis. We earn a percentage of your booking fees, typically:

• Commission rates will be clearly stated in your representation contract
• Commission is deducted from payments received for completed work
• No upfront fees are required to join our agency
• Models are responsible for their own portfolio development costs

Client Booking Terms

If you are a client booking our models:

• All bookings must be confirmed in writing with agreed rates and terms
• Payment terms are typically net 30 days from invoice date
• Cancellations within 48 hours of booking may incur cancellation fees
• You must provide a safe, professional working environment
• Usage rights for photos/videos must be negotiated and agreed upon in advance
• You agree not to contact or book our models directly without agency involvement

Intellectual Property Rights

Our Content

All content on our website, including text, graphics, logos, images, videos, and software, is the property of Vogue Vision Talent or its content suppliers and is protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, reproduce, or distribute our content without permission
• Use our trademarks or branding without authorization
• Scrape or extract data from our website
• Create derivative works based on our content

User-Submitted Content

By submitting photos, videos, or other content to us, you grant us:

• A worldwide, non-exclusive, royalty-free license to use, display, and promote your content
• The right to include your content in our portfolio, website, and marketing materials
• The right to share your content with potential clients for booking purposes

You represent and warrant that you own all rights to submitted content or have obtained necessary permissions and releases.

Prohibited Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Impersonate any person or entity
• Submit false or misleading information
• Interfere with the operation of our Services
• Attempt to gain unauthorized access to our systems
• Transmit viruses, malware, or other harmful code
• Harass, threaten, or abuse our staff or other users
• Use our Services for any unlawful or fraudulent purpose
• Circumvent our agency to book models directly

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Services will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy or reliability of information

We do not guarantee specific results, bookings, or earnings for models. Success in the modelling industry depends on many factors beyond our control.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOGUE VISION TALENT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use our Services
• Damages arising from unauthorized access to your account or data

Our total liability to you for any claims arising from these Terms or our Services shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless Vogue Vision Talent and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of any rights of others
• Your use or misuse of our Services
• Content you submit to us

Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without cause or notice, including if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your account has been inactive for an extended period
• We cease operations or discontinue our Services

For model representation agreements, termination terms will be specified in your individual contract. Either party may typically terminate with 30-90 days written notice.

Upon termination, your right to use our Services will immediately cease. Provisions that should survive termination (including intellectual property rights, disclaimers, and limitations of liability) will remain in effect.

Governing Law

These Terms are governed by the laws of the State of NY 10018, United States, without regard to its conflict of law provisions.

Arbitration

• You may bring claims in small claims court if they qualify
• We may seek injunctive relief in court for intellectual property violations

Changes to These Terms

General Provisions

These Terms, together with our Privacy Policy and any representation agreements, constitute the entire agreement between you and Vogue Vision Talent.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

Assignment

You may not assign or transfer these Terms or your rights under them without our written consent. We may assign these Terms without restriction.
